User Submission Agreement

This User Submission Agreement is a part of the Terms of Use and represents your legally binding agreement with us (“User Submission Agreement”) regarding submission of your “User Content” as defined in the Terms of Use (and our display, use, commercialization and distribution) on the Site and/or via certain software, application or medium (“Console”) we make available to you so you can upload and post such User Content for display, use for potential publication through a recognized and credible publishing house; adapted to screen, other adaptation, translation, creation of derivatives or variations and/or distribution thereof for commercialization, regardless of the medium, format or form, now known or hereinafter developed or discovered, and regardless of where created, whether the characters are real or fictional, in any part of the world, if the review and technical assessment conducted by Script A Hit deems it fit, in its sole and exclusive decision, for commercial exploitation “Purpose” and regardless of what type of Device you use to submit User Content to the Site and/or to Script A Hit.

BY JOINING OR EACH TIME YOU ACCESS AND USE THE CONSOLE TO SUBMIT YOUR USER CONTENT OR ATTEMPT TO DO SO, YOU ARE SIGNIFYING THAT YOU HAVE READ AND UNDERSTOOD, AGREE AND ACCEPT ALL TERMS AND CONDITIONS OF THIS USER SUBMISSION AGREEMENT AS WELL AS THE TERMS AND CONDITIONS CONTAINED IN THE TERMS OF USE THAT GOVERN YOUR LEGAL AND CONTRACTUAL RELATIONSHIP WITH THIS SITE AND SCRIPT A HIT.

We reserve the right, at any time and from time to time, at our sole discretion, to change the terms of this User Submission Agreement. As mentioned in the Terms of Use, we will post notice of such changes to this Agreement and Additional Agreements on the Site (as defined in the Terms of Use). If you object to any such changes, your sole recourse shall be to stop using the Site. Your continued use of the Site and Console following notice of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

You are eligible to submit any User Content using the Console on this Site and/or to Script A Hit only if you are 18 years of age or older. If you are not yet 18 years old and/or do not meet any other eligibility requirements as required by law for this purpose, please discontinue using this Site immediately. By continuing to use or attempting to use this Site or Console, you certify that you are at least 18 years old or other required age for certain features and meet any other eligibility of this Site or applicable law.

1. Submitting User Content

The term “User Content” shall have the same meaning as defined in the Terms of Use Agreement of which, this User Submission Agreement is a part of. Along with the Console, all the instructions to upload such User Content are made available on the Site.

The Console and the Site may prompt you to provide some information about you and the User Content being or proposed to be submitted for the Purpose. This may include, without limitation, information relating to the title, brief description and length of the User Content, story idea and/or concept and some information about you, such as location and/or similar information. By submitting User Content, you agree and understand that it includes and refers to, without limitation, all the information you submit or we receive that is related to your submission or you. You shall identify, at your sole discretion, the User Content that you wish to submit to the Site to offer for the Purpose and accessible to the users of the Site. By submitting the User Content, you agree and undertake to grant, a non-exclusive, irrevocable, right and license to display, use, commercialize and/or distribute the User Content. The Site or Script A Hit is not responsible for any loss and damage to the User Content, including owing to contributing factors such as misdirection, them being rendered unusable or unreadable. Thus, it is advised that a copy of any such submission is retained. Proof that you submitted User Content does not constitute proof that we received anything. You agree and confirm that once the User Content is deemed fit and appropriate for the Purpose, it may require further changes and/or modifications, including but not limited to, by merging another User Content with your User Content; creation of a script and/or screen play and/or derivative involving substantial contribution by another person, being the authorized representative of the Script A Hit, who may be deemed as your co-author(s).

2. User Content Standards

You agree and accept that you are solely responsible and liable for any consequences resulting from the submissions of User Content, made under your name, user name, email address, password and your registration and profile information. While User Content does not reflect our views and neither do we endorse or support any opinions or views expressed therein, we reserve the right, without limiting any and all other rights we may have, to determine, if the User Content submitted by you violates this User Submission Agreement or the Terms of Use.

You agree you shall not submit or attempt to submit, and we have the right to reject, refuse to accept, remove or otherwise handle as Script A Hit deems appropriate, any User Content submitted by you that is or could be construed as violating any of the terms and conditions of this User Submission Agreement and/or any of the terms and conditions set forth in our Terms of Use, including without limitation, the specific terms and conditions contained under the sub-heading of “Your Responsibilities” of the Terms of Use. Such terms and conditions as contained under the sub-heading of “Your Responsibilities” shall be deemed incorporated into and form a part of this User Submission Agreement.

You agree and accept that in some countries, the access, use or downloading of the User Content may not be considered to be legal for certain persons or purposes and that while submitting the same, you do so at your own risk.

You agree and accept that this Site and Script A Hit require that all User Content that you submit or upload has not previously been nor shall it be offered, for any reason whatsoever, without consideration, whether online or through offline platforms. You also agree that you shall not offer such User Content for sale elsewhere, at a price lower than that offered on the Site or to Script A Hit.

Script A Hit may use means of reviewing the User Content, in order to prevent violation of terms and conditions contained herein or under any law in general, and to avoid appearance of such unauthorized content on our Site. Script A Hit may, if it deems the User Content as inappropriate and, in its sole discretion, notify you to make appropriate modifications, you may rectify the same within forty-eight (48) hours, pursuant to which the same may be uploaded.

If we determine, in our sole discretion, that the User Content violates this User Submission Agreement or the Terms of Use, then we reserve the right, at any time, without notice and without limiting any and all rights that we may have under this User Submission Agreement, Terms of Use, at law or in equity, to, a) refuse to allow you to submit further User Content, b) remove and delete your User Content, c) revoke your registration and right to use the Console or access the Site and d) use any means available to enforce the terms of this User Submission Agreement and Terms of Use, including without limitation, technological, legal operational means and other means available such as blocking specific IP address, deactivating your registration, access using your email address, your user name and password.

Script A Hit shall have no obligation or liability whatsoever to you, for removing, deleting, moving, editing or rejecting the User Content that it deems, in its sole discretion, as inappropriate, as being abusive, defamatory, obscene, pornographic, in violation of intellectual property rights, or in violation of this User Submission Agreement or the Terms of Use. Should Script A Hit receive any notice of any claim of infringement that satisfies legal requirements and the terms and conditions contained in the Terms of Use, Script A Hit may remove User Content so identified in the notice. Script A Hit reserves its right and may be obliged, under law, to provide information to law enforcement agencies including judicial, governmental or regulatory, to protect their respective interests and that of the Site or Script A Hit’s interests.

3. Representations – User Content Submission

By submitting the User Content on the Site, you hereby represent and warrant that:

it is not in the public domain and is based on an original creative idea.
you are the sole author, creator, owner and proprietor of the User Content and have full power and authority, free of any encumbrances or of any nature of rights whatsoever by any other person, to enter into this User Submission Agreement and to grant the rights which are granted to the Site in this User Submission Agreement;
you are legally authorized to and capable of entering into, performing and complying with this User Submission Agreement with the Site and /or Script A Hit;
neither the User Content nor the Posting will and does not, in any way, violate or breach any terms of this Agreement;
the User Content has not heretofore been published, in whole or in part, in any form;
the User Content submitted by you does not violate this User Submission Agreement, Terms of Use and if published will not infringe upon or misappropriate any copyright, trademark, or any other intellectual property rights, other proprietary rights, rights including but not limited to privacy or publicity rights of any third party nor render you in breach of any of your obligations, nor in violation of any law or regulation currently in force;
the User Content contains no matter whatsoever that is obscene, libellous, otherwise in contravention of law or the right of any third party;
all statements of fact in the User Content are true and are based on diligent research;
all advice and instructions in the User Content are safe and sound, and is not negligent or defective in any manner;
the User Content, if biographical or “as told to” you, is authentic and accurate and a) used with the consent, b) in accordance with an existing agreement and /or c) use thereof does not breach confidentiality, publicity and/or other rights of the owner of the information;
we shall not be required to pay or incur any sums to any person or entity as a result of our use and/or commercial exploitation of the User Content, unless specifically so stated in any Additional Agreement(s);
you have the right to grant the Site and Script A Hit the right to use all such names, logos, brands, service or trade mark, sound, likeness or image of any person, firm or enterprise that are incorporated in your User Content and Postings;
you will not hereafter enter into any agreement or understanding with any person or entity which might conflict with the rights granted to the Site under this User Submission Agreement and Terms of Use for a mandatory period of three months, within which time, the Site shall communicate if your User Content has been selected for the Purpose;
you hold and shall continue to hold the ownership, license, proprietary and other rights necessary to enter into, authorize, grant rights and perform your obligations under this User Submission Agreement and that your future assignees of the rights mentioned herein, shall be obligated to perform and be bound by the surviving clauses of the User Submission Agreement and the Terms of Use in relation to the User Content already submitted; and
you shall furnish all information and documentation necessary and reasonably required to verify and substantiate your compliance with any or all of the terms and conditions of this User Submission Agreement.

You acknowledge that other users may have submitted User Content that may be substantially similar and/or identical to that contained in any User Content submitted by you, which may be purely coincidental or unavoidable. In such a scenario, you understand and agree that you shall not be entitled to any compensation because of the use or exploitation of use of another user’s User Content.

4. Intellectual Property Rights and Infringement

We do not claim ownership of any User Content. As between you and us, you own all rights to your User Content. However, you grant to us and our affiliates, representatives, sub-licensees and assigns a non-exclusive, irrevocable, perpetual, fully-paid (as applicable), right and license to distribute, syndicate, license, reproduce, modify, adapt, publish, translate and publicly display your User Content (in whole or in part) in any format or medium now known or later developed. However, our rights and exercise thereof, shall at all times, be subject to the limitations as imposed on us under our Privacy Policy.

You represent and warrant that your User Content complies with all the terms and conditions contained in this User Submission Agreement and the Terms of Use and that your User Content and our authorized use of the same do not and will not infringe the rights of any third party (including, without limitation, intellectual property rights, rights of privacy or publicity, or any other legal or moral rights).

We respect and protect intellectual property rights, both our own and others. Accordingly, we employ multiple measures to prevent intellectual property infringement over this Site and to promptly end any infringement that might occur. In this regard, the Terms of Use, specifically, those contained under the sub-heading “Ownership of Intellectual Property”, shall be deemed incorporated into and form a part of this User Submission Agreement.

If you believe that the Site contains elements that infringe your intellectual property rights, please send a written notice to us at info@scriptahit.com, containing a statement of the alleged infringement and in accordance with other terms and conditions in the aforesaid Terms of Use.

5. Rights Granted to Script A Hit

Script A Hit allows you to submit the User Content on the Site, which will be accessible to the other users of the Site. By submitting the User Content, you further permit Script A Hit to, through their expert team, consisting of experienced editors, script & screenplay writers and other similar qualified members to review and/or conduct a technical assessment (always of the User Content, not being the Personal Identifiable Information) to decide whether the same meets the Purpose. You agree that the permission to submit and publish the User Content on the Site, which can be viewed and accessed by the other users of the Site as well as the potential review and technical assessment for the Purpose is good, valuable and adequate consideration to enter into the Commercialization & IP Assignment Agreement, if your User Content meets the Purpose. It is further clarified that the Script A Hit shall make every effort, without being bound nor obligated, to carry out this assessment and if deemed fit for the purpose, to communicate the result to you, within three (3) months from the date of submission of the User Content on the Site, unless the User Content was submitted through the [Participation Fee Method]. In the event that the User Content was submitted through the [Participation Fee Method], the Script A Hit shall be obliged to conclude the review and/or technical assessment stated herein above in this paragraph and convey the final decision and/or result to you within three (3) months from the date of submission and receipt of the payment. Upon communication of the User Content being found fit and appropriate for the Purpose, you shall, within a period of two (2) weeks, give your consent for such identified Purpose as suitable, through the duly executed “Commercialization & IP Assignment Agreement” in favour of Script A Hit or any third party as identified by Script A Hit and dispatching the original to the attention of Script A Hit at the address Script A Hit Private Limited, No. 1042, Prestige Brooklyn Heights, Sarakki, Shakambari Lyt., I Phase, J P Nagar, Bengaluru, Bangalore, Karnataka, India 560078. In addition to the consideration stated herein above, you understand and agree that upon receipt of the duly executed original Commercialization & IP Assignment Agreement by the Script A Hit, a token sum of INR. 10,000 would be made by the Script A Hit and you shall also be entitled to the royalties of each sale, to an agreed per centage of the royalties generated through your User Content.

Script A Hit reserves its right to carry out such essential modifications to the User Content so submitted as to allow or help in uploading the same on the Site. You also grant to Script A Hit a non-exclusive, irrevocable, right and license to distribute User Content directly and/or through the third party distributors, in all digital formats by all digital distribution means and methods available. Script A Hit shall have the right to display advertisements in connection with User Content and to use User Content for advertisement and promotional purposes without any compensation to or from you. Without limitation, the Site and Script A Hit would have the right but no obligation to:

reproduce, index and store User Content on one or more computer facilities, and reformat, convert and encode the User Content;
display, market, transmit, distribute, sell and otherwise digitally make available all or any portion of User Content through the Site, for users to view online and offline, including on portable devices;
permit users to ‘store’ purchased User Content on user-application / servers and to access and re-download such User Content from virtual storage from time to time both during and after the term of this User Submission Agreement and the Terms of Use;
display and distribute:
1. your trademarks and logos in the form provided by you to Script A Hit or within the User Content (with such modifications as are necessary to optimize their viewing);
2. portions of the User Content, in each case solely for the purposes of marketing, soliciting and selling User Content and related Script A Hit services, Services and Materials, as defined in the Terms of Use; and
3. use, reproduce, adapt, modify, and distribute, as Script A Hit determines appropriate, in its sole discretion, any metadata provided by you in connection with the User Content; and
4. transmit, reproduce and otherwise use (or cause the reformatting, transmission, reproduction, and/or other use of) User Content as mere technological incidents to and for the limited purpose of technically enabling the foregoing (e.g., caching to enable display). In addition, you agree that Script A Hit may permit its affiliates and independent contractors, licensors to exercise the rights granted under this Agreement.

Script A Hit is only acting as a host or a platform for submitted User Content, with all of the specific rights granted hereunder. While you, by submitting your User Content, are requesting us to take advantage of and exploit the rights and privileges granted hereunder, the Site, Script A Hit or any of our affiliate, has no obligation to market, distribute, or offer for sale any of the User Content or to continue marketing, distributing or selling the User Content or do any of the things that the rights and privileges permit us to do.

6. Ownership

The contents of this Site, the “Material”, as the term is defined in the Terms of Use and Console are the property of Script A Hit and their affiliates, and any of their successors and assigns, and any of their respective licensors, advertisers, suppliers and operational service providers and are legally protected, under Indian and foreign laws, regulations and treaties. Unless the context clearly requires otherwise or we explicitly state so in writing, the term “Site” includes “Materials” as well. Script A Hit retains all rights, title and interest in and to the Site and Console including, without limitation, to all intellectual property and proprietary rights existing therein anywhere in the world and you acquire no ownership, proprietary or other rights, title or interest in or to the same.

We do not claim ownership of any User Content. As between you and us, you own all rights to your User Content except for the rights granted herein or under the Terms of Use and/or Privacy Policy to Script A Hit and/or pursuant to the Commercialization & IP Assignment Agreement, nothing contained herein conveys any ownership rights in your User Content to Script A Hit.

7. Financial Consideration

Script A Hit shall be solely responsible for processing payments, payment collection, interface requests for refunds and related service to the user, and will have sole control of all data obtained from current and prospective users in connection with the Services and / or Site. We shall establish appropriate arrangements with payment gateways, e-wallets and other similar service providers to receive or effect payments from users for the purchase of the User Content as per the operating country guidelines of Script A Hit operations and relevant users. Script A Hit shall calculate and reconcile your share of the revenue at [the close of every calendar month] and transferred to a bank account nominated by you in the Commercialization & IP Assignment Agreement.

8. Indemnification

The indemnifications contained in the Terms of Use that are deemed incorporated into and form a part of this User Submission Agreement and include, without limitation, any third party claims arising from, related to or caused by your User Content, the submission thereof or in any way associated with this User Submission Agreement or the Site.

9. Disclaimer and Limitation of Liability

CONSOLE IS PROVIDED ‘AS IS’ WITH NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED AND YOUR USE OF THE CONSOLE IS AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR YOUR USER CONTENT, REPRESETNATIONS, WARRANTIES AND OBLIGATIONS UNDER THIS USER SUBMISSION AGREEMENT AND FOR ANY DAMAGE TO YOUR COMPUTER, DATA OR ANY OTHER AS A RESULT OF YOUR USE OF THE SITE OR THE CONSOLE. SCRIPT A HIT AND ITS AFFILIATES EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMIATION WARRANTIES CONCERNING ACCESS TO AND/OR AVAILABILITY, FINTENESS, USEFULNESS OR SECURITY OF THIS SITE, MATERIAL OR CONSOLE OR ANY SOFTWARE, RESOURCES OR FCILITIES AND /OR SERVICES AND WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR THAT THE CONSOLE WILL FUNCTION OR PERFORM IN A SPECIFC MANNER.

SCRIPT A HIT AND ITS AFFILIATES SPECIFICALLY EXCLUDE ALL LIABILITY FOR ALL UNAUTHORIZED USE THAT IS IN VIOLATION OF THIS USER SUBMISSION AGREEMENT OR THE TERMS OF USE OR THE LAWS OR REGULATIONS THAT MAY APPLY TO YOU IN ANY JURISDICTION OR COUNTRY. SCRIPT A HIT AND ITS AFFILIATES DISCLAIM ALL LIABLITY, HOWSOEVER ARISING OR CAUSED, WHETHER FORESEEABLE OR NOT, REGARDLESS OF THE FORM OF ACTION AND EVEN IF ADVISED OF THE POSSIBLITY OF DAMAGES, FOR ANY AND ALL DAMAGES, WHETHER DIRECT, CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES.

10. General

The Terms of Use, incorporating this User Submission Agreement and any Commercialization & IP Assignment Agreement that you may have entered into with Script A Hit is the entire agreement between you and us regarding the User Content or your use of the Console or the Site and supersedes any prior or inconsistent agreements. Script A Hit reserves its right to terminate this User Submission Agreement and your right to use the Console or the Site, without any notice to you whatsoever.

Terms Of Use

This website belongs to SCRIPT A HIT PRIVATE LIMITED and SCRIPT A HIT PRIVATE LIMITED welcomes you to this internet site, it’s applications and services provided by SCRIPT A HIT PRIVATE LIMITED (collectively, the “Services”). These Terms of Use (“Terms of Use” or “Agreement”) govern your access and use of the Services provided by SCRIPT A HIT PRIVATE LIMITED and any of its subsidiaries, affiliates, brands and entities that it controls (collectively (“Script A Hit”, “Site”, “we”, “us”, or “our”). PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY DESCRIBE YOUR RIGHTS AND RESPONSIBILITIES. This Agreement governs only the content, features, and activities related to this Site.

These terms and conditions regarding your use of the Site constitute a legally binding agreement between you and the Site and Script A Hit. In this Agreement, the term “Site” includes all websites and web pages within the Site as well as any equivalent, mirror, replacement, substitute or back websites and web pages that are associated with the Site. By using this Site, you understand, acknowledge and agree that you will abide by the terms of this Agreement and any additional terms that govern certain products and services, which will be presented in conjunction with those products and services including but not limited to the Publishing & IP Assignment Agreement, User Submission Agreement which govern the “User Content” as defined hereunder (“Additional Agreements”).

The words “use” or “using” in this Agreement means any time an individual (a “user”), directly or indirectly, with or without the aid of a machine or device, does or attempts to access, interact with, use, display, view, print or copy from the Site, transmit, receive or exchange data or communicate with the Site, or in any way utilizes, benefits, takes advantage of or interacts with any function, service or feature of the Site, for any purpose whatsoever (collectively “user”, “you”, “your” or “yourself”). This Agreement does not cover your rights or responsibilities with respect to third party content or sites or any links that may direct your browser or your connection to third party sites or pages. This is the entire and exclusive Agreement between you and us regarding use of the Site and we reserve the right, at any time and from time to time, at our sole discretion, to change the terms of this Agreement. We will post notice of such changes to this Agreement and Additional Agreements on the Site. If you object to any such changes, your sole recourse shall be to stop using the Site. Your continued use of the Site following notice of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

“User Content” means and refers to any and all content, media and materials you submit for display,/ viewing & assessment on the Site using the ”Console” as defined in the User Submission Agreement, including, without limitation, ideas, concepts, manuscript for a story; short and/or long stories, of all genres as well as any accompanying documentation or other materials, either in tangible or intangible form and all derivative works, translations, adaptations or variations of same, regardless of the medium, format or form, now known or hereinafter developed or discovered, and regardless of where created, whether the characters are real or fictional, in any part of the world.

“Post” or “Posting” means and refers to any and all the information, ideas, opinions, messages, comments, suggestions and /or other information that you submit, post, display, transmit and /or exchange using the opportunity and means provided by this Site, to participate in forum services, blogs, web communities and other messages and communication facilities. User Content is also considered a “Posting”, and therefore, all terms and conditions contained herein shall apply to all terms and conditions contained within this Agreement. You are solely and entirely responsible for the consequences of all Postings that you upload and otherwise make available on the Site. Postings are not reflective of the Site or Script A Hit and are solely the user’s views, ideas, opinions, or other information.

1. User Registration

You are responsible, for obtaining and maintaining at your own cost, all equipment and services needed for access to and use of the Services and the Site. We may require each user to have a unique user name and password combination in order to access and use certain features or functions of the Site and may also, from time to time, provide users with additional codes or passwords necessary to access and use certain Services and features or functions of the Site. You may be providing certain personally identifiable information (“Personally Identifiable Information”) about yourself. You agree that we may use any information that we obtain about you in accordance with the Privacy Policy. If you elect to register with the Site, you agree to: a) provide true, accurate, current and complete information as prompted by the registration form; and b) maintain and update such information to keep it true, accurate and current, and complete at all times. Your user name and password are personal to you and you shall not allow any person other than yourself to use the same under any circumstances. We are not liable for any harm caused or related to the theft, disclosure or misappropriation of your user name or password, or your authorization of anyone else to use your user name or password. You agree to immediately notify us if you become aware of or believe there is or may have been any unauthorized use of (or activity using) your user name or password or any other need to deactivate your user name or password due to security concerns.

2. Your Responsibilities

Your use of the Site is subject to all applicable local, state, national laws and regulations and, in some cases, international treaties. You are solely responsible for all acts and omissions that occur in, from, through or under your user name or password you shall not use, allow, or enable others to use the Site, to:

violate any local, state, national, or international law or regulation, judicial or governmental order, or violate or infringe upon any intellectual property rights, rights of publicity or privacy or any other rights of ours or any other person; gain unauthorized access to the Site, other users’ accounts, names, passwords, personally identifiable information or other computers, websites or pages, connected or linked to the Site or to use the Site in any manner which violates or is inconsistent with the terms and conditions of this Agreement;
host, display, upload, modify, publish, transmit, update or share any information that:
1. belongs to another person and to which you do not have any right to;
2. b)is grossly abusive, harmful, tortious, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever;
3. harms minors in any way;
4. infringes any patent, trademark, copyright or other proprietary rights;
5. violates any law for the time being in force;
6. deceives or misleads the address about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
7. impersonates another person;
8. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
9. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting of any other nation.

affect us adversely or reflect negatively on us, the Site, our goodwill, name or reputation or cause duress, distress or discomfort to us or anyone else, or discourage any person, firm or enterprise from using all or any portion, features or functions of the Site, or from advertising, linking or becoming a supplier to us in connection with the Site;
transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, or so-called “spamming” or “phishing”, chain letters, pyramid schemes, or any other form of solicitation;
transmit any material that contains adware, malware, spyware, software viruses, or any other computer code, files of programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
stalk, harass, or harm another individual, including by revealing the real name of any fellow user that has chosen to use an alias on the Site;
impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;
use any ‘robot’, ‘spider’, ‘rover’, ‘scraper’ or any other data-mining technology or automatic or manual process to monitor, cache, frame, mask, extract data from, copy or distribute any data from the Site, our network or databases;
interfere with or disrupt the Site or servers or our networks, or disobey any requirements, procedures, policies, or regulations of networks connected to the Site.
Further you represent and warrant that:
1. the Posting does and will not, in any way, violate or breach any terms of this Agreement;
2. we shall not be required to pay or incur any sums to any person or entity as a result of our use or exploitation of the Posting, unless specifically so stated in any Additional Agreement(s);
3. your User Content and our authorized use of the same do not and will not infringe the rights of any third party (including, without limitation, intellectual property rights, rights of privacy or publicity, or any other legal or moral rights); and
4. you have the right to grant the Site and Script A Hit the right to use all such names, logos, brands, service or trade mark, sound, likeness or image of any person, firm or enterprise that are incorporated in your Postings;

3. Postings

If Postings originate from you or your account, you hereby understand, acknowledge and agree: a) that you specifically authorize the Site and Script A Hit to use such Postings in whole or in part, worldwide, in perpetuity and in any and all media now known or hereinafter devised, alone or together with or as part of other information, content and /or material of any kind or nature; b) we have the right to delete, re-format and/or change your Postings in any manner we deem fit (although you will not be responsible for any such changes made); c) we do not assume any responsibility for deletion of Postings or any failure to store, receive or deliver Postings in a timely manner or any other matter relating to Postings; d) Posting, except User Content posted on the Site and paid for, may be exploited commercially and Script A Hit shall endeavour to promote or generate revenue; and e) any request for removal does not ensure complete or comprehensive removal of the content or information from this Site. For example, content that you have posted may be republished or reposted by another user or third party. Please refer to the Privacy Policy regarding how you may delete certain information.

Postings do not reflect the views of the Site or Script A Hit. We reserve the right to monitor, edit or screen any Postings. If we determine, in our sole discretion and judgement, that any Posting does or may violate any of the terms of this agreement, we reserve the right, at any time and without limiting any and all other rights we may have under this Agreement, at law or in equity, to a) refuse to allow you to Post; b) remove and delete Postings; c) revoke your right to use the Site; and/or d) use any technological, legal, operation or other means available to us to enforce the provisions of this Agreement, including, without limitation, blocking specific IP addresses or deactivating your registration on the Site.

4. Payment, Cancellation and Refund Policy

Upon registration, you would be able to avail our Services and chose the specific Service you wish to avail, including those Services that are available upon making the specified payments. Script A Hit shall be solely responsible for collecting and processing payments, no requests for refunds will be entertained. Script A Hit shall establish appropriate arrangements with payment gateways, e-wallets and other similar service providers to receive or effect payments from users for the purchase of the Services.

Script A Hit shall not refund any amounts received upon a successful transaction and the content has already been submitted. However, should the content be incomplete, morphed or otherwise not readable or comprehendible to the eye, then Script A Hit shall, within 24 hours of receipt thereof, permit re-submission of the content suitably to address the issue. Should Script A Hit be unable to rectify the technical error within 24 hours, then Script A Hit shall entertain requests for refunds.

Script A Hit shall endeavour to address all requests for refunds within 24 hours of receipt of such requests for a refund. However, depending upon the jurisdiction of the transaction or your residence, the monies may reach your account anywhere between 7 – 28 working days. Script A Hit calculates and reconciles the revenues at the close of every calendar month and thus, all requests for refunds shall certainly be entertained and addressed towards the end of every calendar month, in the event that the same were not addressed previously.

Script A Hit shall share the details of the commercial conversion, if any, relating to the User Content submitted by you and the total amounts, if any, become due and payable to you and send the same into you via your preferred mode of communication and/or account. You may have to disclose certain additional other Personally Identifiable Information such as the requisite payment particulars, including UPI Address, VPA, Bank Account Details, Credit or Debit Card Numbers, and so forth, in order to enable Script A Hit to debit the said due and payable sums.

If you do not receive the remittance advisory in your preferred mail box by Fifteenth day of the month] of a successful transaction, Script A Hit can be reached at billing@scriptahit.com where the transaction details with reference particulars can be mentioned and sent. Script A Hit shall ensure the remittance details are sent to the users.

5. Ownership of Intellectual Property

The contents of this Site, including all Site databases, proprietary information, articles, software, design, text, images, photographs, illustrations, audio and video material, artwork, graphic material, and all copyrightable or otherwise legally protectable elements of the Site, including, without limitation, the selection, compilation, arrangements, sequence and ‘look and feel’ and all trade marks, service marks and trade names; patents, designs, algorithms and other industrial property rights including “logos”, “rental” rights and rights to remuneration, whether arising by operation of law, contract, license or otherwise and all registrations, initial applications, renewals, extensions, continuations, divisions or reissues here now or hereinafter in force (including any rights in any of the foregoing) (individually and/or collectively “Material”), are the property of Script A Hit, and any of their successors and assigns, and any of their respective licensors, advertisers, suppliers and operational service providers and are legally protected, under Indian and foreign laws, regulations and treaties. Unless the context clearly requires otherwise or we explicitly state so in writing, the term “Site” includes “Materials” as well.

Further, we own all the rights, title and interests in any compilation, collective work, adaptations, translations and/or any other derivative work created by using and/or incorporating your User Content, particularly if it is governed by any of the Additional Agreements (excluding your original content / User Content). You grant us and our users an irrevocable, non-exclusive, royalty free or fully paid (as applicable), perpetual right and license to distribute User Content, directly and through third party distributors, regardless of the medium, format or form, now known or hereinafter developed or discovered, including but limited to the digital formats by all digital distribution means available.

We respect and protect intellectual property rights, both our own and others. Accordingly, we employ multiple measures to prevent intellectual property infringement over this Site and to promptly end any infringement that might occur. We have a policy of removing User Content that violates any intellectual property right; suspend access and/or terminate the account of any user who uses to the Services and/or the Site to violate any intellectual property rights. 6. Commercial Use

10. Relationship

The delivery of any Notice is effectively when sent or posted by us, regardless of whether you read the Notice or actually receive the delivery. 12. Governing Law and Jurisdiction

This Agreement together with the Additional Agreements constitute the entire and exclusive and final statement of the agreement between you and us regarding use of and govern your use of the Services and the Site, superseding any prior agreements or negotiations between you and us with respect to the subject matter hereof. In the event of any conflict between this Agreement and any other agreement, this Agreement shall govern.

This Agreement and your use of the Services and the Site shall be construed and enforced in accordance with the laws of India, without regard to its conflict of laws principles. You specifically agree to submit to the sole and exclusive jurisdiction and venue of Bangalore and agree that you will not object to such jurisdiction or venue on the grounds of lack of personal jurisdiction, forum non convenience or otherwise. Our failure to exercise or enforce any right or provision of this Agreement or Additional Agreements shall not constitute a waiver of such right or provision.
